What is FBL Registration?

FBL (Foreign Business License) is a license issued by the Ministry of Commerce of Thailand to companies where foreigners hold more than 50% of the shares or where the management is deemed to be under “foreign control.” This license allows such companies to legally operate businesses in Thailand.

What Types of Businesses Require an FBL?

An FBL is required for businesses restricted under Thai law, where foreign investors are not free to operate without permission. These include certain service sectors, trading, manufacturing, and other activities listed in the annex of the Foreign Business Act B.E. 2542 (1999). Generally, FBL registration is suitable for:

  • Companies with majority foreign shareholding that wish to legally operate in Thailand

  • Foreign corporations seeking to establish a business base in Thailand

  • Specialized service providers (e.g., business consulting, engineering, architecture, IT) that fall under restricted categories and need an FBL to operate legally

  • Businesses that seek credibility with partners, clients, or stakeholders, as holding an FBL demonstrates transparency and compliance with the law
